TERMS OF USE

These Terms of Use constitute a legally binding agreement between you and Proclaim TV Network, a service operated by V1 Media (“Proclaim TV,” “we,” “us,” or “our”).

These Terms govern your access to and use of the Proclaim TV Network website, live television stream, on-demand programming, podcasts, mobile applications, Roku channel, Fire TV application, Apple TV application, connected-TV applications, social features, and related services collectively referred to as the “Service.”

1. Acceptance of These Terms

Please read these Terms carefully. By accessing, registering for, downloading, or using the Service, you agree to be bound by these Terms and all policies incorporated by reference, including our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

If you use the Service on behalf of a church, ministry, business, nonprofit organization, or other entity, you represent that you have authority to accept these Terms on its behalf. In that case, “you” includes both you and the entity you represent.

These Terms do not replace any separate programming, advertising, sponsorship, production, licensing, subscription, or content-distribution agreement you may have with Proclaim TV.

2. Changes to These Terms

Proclaim TV may update these Terms periodically to reflect changes in the Service, applicable law, technology, or business practices.

Revised Terms will be posted with an updated “Last Updated” date. When required by law, we will provide additional notice or request renewed acceptance before material changes take effect.

Your continued use of the Service after revised Terms become effective constitutes acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service.

3. Description of the Service

Proclaim TV Network is a Christian and inspirational media network offering live and on-demand programming, including preaching, worship, biblical teaching, Christian music, podcasts, concerts, conferences, interviews, documentaries, family programming, community programming, and original productions.

The Service may be available through websites, mobile devices, Roku, Fire TV, Apple TV, smart televisions, third-party platforms, and other supported technologies.

Programming, features, schedules, geographic availability, supported devices, and distribution platforms may change without notice. We do not guarantee that every program or feature will remain available at all times or in every location.

Programs featuring pastors, ministries, guests, advertisers, sponsors, or independent creators may express views that do not necessarily represent the official views of Proclaim TV or V1 Media.

We will not automatically publish your viewing activity to social media unless you authorize that sharing through an available feature or connected third-party service.

4. Eligibility, Accounts, and Registration

You must be at least 13 years old to create an account. If you are under the age of majority in your state, you may use the Service only with the permission and supervision of a parent or legal guardian.

The Service is not intended to collect personal information directly from children under 13. Children may watch appropriate family programming under parental supervision but may not independently register for an account.

When creating an account, you agree to:

Provide accurate, current, and complete information.
Keep your account information updated.
Protect your password and login credentials.
Notify us promptly of suspected unauthorized access.
Accept responsibility for activity conducted through your account.

You may not impersonate another person, create an account using false information, sell or transfer your account, or use another person’s account without authorization.

We may suspend or terminate accounts containing inaccurate information, showing suspicious activity, or violating these Terms.

5. Paid Services, Subscriptions, and Billing

Certain programs, subscriptions, events, premium features, or services may require payment.

Before charging you, Proclaim TV or the applicable payment provider will disclose the price, billing frequency, renewal terms, cancellation method, and any material restrictions.

If a subscription automatically renews, you authorize recurring charges until you cancel. You may cancel using the cancellation method disclosed when you subscribed. Cancellation will take effect according to the terms presented at purchase and applicable law.

Purchases made through Apple, Roku, Amazon, Google, or another third-party platform may be billed and administered by that platform. You may need to cancel or request a refund directly through the applicable platform.

Except where required by law or expressly stated at purchase, payments are nonrefundable after the applicable service or subscription period has begun.

You represent that you are authorized to use any payment method submitted through the Service.

6. Ownership and Copyright

Unless otherwise indicated, the Service and its content—including programs, films, broadcasts, podcasts, recordings, graphics, photographs, designs, text, software, audio, music, logos, trademarks, promotional materials, and their arrangement—are owned by or licensed to Proclaim TV, V1 Media, participating content providers, or other rights holders.

These materials are protected by United States and international copyright, trademark, and intellectual-property laws.

Nothing displayed through the Service transfers ownership of any content or intellectual property to you.

7. Limited Viewer License

Subject to these Terms, Proclaim TV grants you a limited, personal, nonexclusive, nontransferable, nonsublicensable, and revocable license to access and view the Service for lawful, personal, and noncommercial purposes.

You may access content only through authorized features of the Service. You may not download, record, copy, redistribute, rebroadcast, publicly perform, publicly display, sell, sublicense, or commercially exploit any program unless Proclaim TV or the applicable rights holder has given you written permission.

This viewer license does not authorize churches, businesses, venues, institutions, or other organizations to publicly exhibit or rebroadcast programming without appropriate written authorization.

8. Prohibited Uses

Unless expressly authorized in writing, you may not:

Copy, record, download, reproduce, rebroadcast, or redistribute programming.
Sell, rent, lease, sublicense, or commercially exploit the Service.
Remove or alter copyright, trademark, watermark, branding, or ownership notices.
Modify or create derivative works from Service content.
Circumvent digital-rights management, geographic restrictions, security controls, or access limitations.
Use automated tools, bots, scrapers, or data-mining systems to access the Service.
Reverse engineer, decompile, or attempt to extract the source code of an application.
Interfere with servers, networks, applications, or other users.
Upload malware, viruses, corrupted files, or harmful code.
Use the Service for fraudulent, unlawful, abusive, or unauthorized purposes.
Misrepresent your relationship with Proclaim TV or any participating ministry.
Use Proclaim TV’s name or branding to imply an endorsement that has not been authorized.

Unauthorized use immediately terminates the license granted under these Terms and may violate applicable civil or criminal laws.

9. User Content and Interactive Areas

The Service may provide reviews, comments, profiles, forums, live chats, message boards, uploads, and other interactive features.

“User Content” means any text, photographs, videos, audio, messages, comments, files, links, or other material submitted by a user.

You retain ownership of your User Content. By submitting User Content, you grant Proclaim TV a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, display, distribute, and otherwise use that content as reasonably necessary to operate, promote, secure, and improve the Service.

This license ends when your User Content is deleted, except when:

The content has been shared with others who have not deleted it.
Retention is required for legal, security, fraud-prevention, or recordkeeping purposes.
Copies remain temporarily in routine backup systems.

Programs submitted by ministries, producers, podcasters, artists, or other content partners are governed by the applicable programming or distribution agreement and not solely by this User Content provision.

You represent that you own or control all necessary rights to anything you submit and that its use by Proclaim TV will not violate any law, agreement, or third-party right.

10. Content Standards

You may not upload, post, transmit, or distribute content that:

Is unlawful, fraudulent, defamatory, threatening, harassing, or obscene.
Promotes violence, criminal conduct, exploitation, or abuse.
Infringes copyright, trademark, privacy, publicity, or other rights.
Contains pornography, sexually explicit material, or the exploitation of minors.
Impersonates another person or misrepresents an affiliation.
Contains another person’s private or confidential information.
Includes unauthorized advertising, spam, or solicitations.
Contains malware, corrupted data, or destructive code.
Interferes with worship services, broadcasts, or other users.
Violates Proclaim TV’s programming standards or community guidelines.

Proclaim TV may review, restrict, remove, preserve, or disclose User Content when reasonably necessary to operate the Service, enforce these Terms, comply with law, or protect Proclaim TV, its viewers, content partners, or the public.

We are not obligated to pre-screen every submission and do not endorse all statements made by users or independent content providers.

11. Third-Party Services, Platforms, and Advertising

The Service may contain links, applications, advertisements, promotions, products, payment systems, donation platforms, or content supplied by third parties.

Third-party services are governed by their own terms and privacy policies. Proclaim TV does not control and is not responsible for their content, availability, security, accuracy, or business practices.

Any purchase, donation, registration, or transaction conducted with an advertiser, ministry, sponsor, payment processor, or third-party provider is solely between you and that party unless Proclaim TV expressly states otherwise.

Your use of Roku, Fire TV, Apple TV, mobile app stores, social-media platforms, or other distribution services may also be subject to the provider’s separate terms.

12. Privacy

Our Privacy Policy explains how Proclaim TV collects, uses, stores, protects, and discloses personal information, including account information, device information, viewing activity, communications, and payment-related data.

By using the Service, you acknowledge that you have reviewed our Privacy Policy.

If you connect your account to a third-party platform, information shared with that platform will also be governed by its privacy policy.

13. Enforcement and Account Suspension

Proclaim TV may investigate suspected violations of these Terms.

We may remove content, limit features, suspend accounts, cancel subscriptions, terminate access, or take other appropriate action when we reasonably believe a user has violated these Terms, created legal or security risks, infringed another person’s rights, or disrupted the Service.

Our failure to enforce a provision in one situation does not waive our right to enforce it in another.

These Terms do not create a private right of action for any third party.

14. Trademarks

“Proclaim TV Network,” the Proclaim TV logo, associated slogans, program names, graphics, and other network identifiers are trademarks or service marks of Proclaim TV, V1 Media, or their licensors.

You may not copy, imitate, alter, register, display, or use these marks—including in domain names, social-media handles, metatags, advertising, or promotional materials—without prior written authorization.

Third-party names and logos remain the property of their respective owners.

15. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Proclaim TV, V1 Media, their affiliates, directors, officers, employees, contractors, content partners, and agents from claims, damages, liabilities, judgments, settlements, penalties, losses, and reasonable legal expenses arising from:

Your misuse of the Service.
Your violation of these Terms.
Your User Content.
Your infringement of another party’s rights.
Your unlawful or unauthorized conduct.

This provision does not require a consumer to indemnify Proclaim TV for Proclaim TV’s own negligence, willful misconduct, or violation of law where such a limitation is prohibited.

16. Disclaimers

THE SERVICE AND ALL PROGRAMMING, MATERIALS, USER CONTENT, AND FEATURES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” TO THE FULLEST EXTENT PERMITTED BY LAW.

PROCLAIM TV DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.

WE DO NOT GUARANTEE THAT:

The Service will always be uninterrupted, secure, or error-free.
All programming will remain continuously available.
Defects will always be corrected.
The Service will be free from harmful components.
Information provided by hosts, ministries, guests, advertisers, or users will be complete or accurate.
Viewing or participating in any program will produce a particular spiritual, personal, medical, financial, legal, or other result.

Religious and inspirational programming is provided for informational and spiritual purposes and is not a substitute for professional medical, mental-health, financial, or legal advice.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PROCLAIM TV, V1 MEDIA, AND THEIR AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST REVENUE, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL.

This limitation applies to damages arising from:

Your use or inability to use the Service.
Interrupted or delayed broadcasts.
Errors, omissions, or inaccurate content.
Unauthorized account access.
User Content or third-party content.
Products, services, donations, or transactions involving third parties.
Viruses, security events, or harmful components.
Removal, suspension, or termination of content or accounts.

To the fullest extent permitted by law, Proclaim TV’s total liability arising from the Service will not exceed the greater of:

The amount you paid directly to Proclaim TV during the 12 months preceding the claim; or
One hundred dollars ($100).

These limitations do not apply where liability cannot legally be excluded or limited.

18. Repeat-Infringer Policy

Proclaim TV respects intellectual-property rights.

In accordance with the Digital Millennium Copyright Act and other applicable laws, Proclaim TV may terminate or restrict accounts of users who repeatedly infringe copyrights or other intellectual-property rights.

We may also remove content or terminate access after a single serious infringement when appropriate.

19. Copyright Complaints and DMCA Notices

If you believe content available through the Service infringes a copyright you own or control, send a written notification to our designated copyright agent containing:

Your physical or electronic signature.
Identification of the copyrighted work claimed to be infringed.
Identification and location of the allegedly infringing material.
Your name, mailing address, telephone number, and email address.
A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement,

under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act for the owner.

Knowingly submitting a materially false infringement notice may result in liability under federal law.

If your content is removed because of a copyright complaint, you may submit a valid counter-notification as permitted under 17 U.S.C. §512.

20. Termination

You may stop using the Service at any time.

Proclaim TV may suspend or terminate your access, remove content, or discontinue all or part of the Service when reasonably necessary, including for violations of these Terms, nonpayment, unlawful activity, security concerns, infringement, or operational reasons.

Upon termination, your right to use the Service ends immediately. Provisions concerning ownership, intellectual property, disclaimers, liability, indemnification, dispute resolution, and other provisions that by their nature should survive will remain effective.

21. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Unless applicable law requires otherwise, any dispute arising from or relating to these Terms or the Service must be filed exclusively in the state or federal courts serving Cobb County, Georgia.

You consent to the personal jurisdiction and venue of those courts.

22. Electronic Communications

By using the Service, you consent to receive electronic communications relating to your account, transactions, subscriptions, security, policy changes, and the operation of the Service.

Electronic notices satisfy any legal requirement that communications be provided in writing, subject to applicable law.

Marketing messages will be sent according to your preferences and applicable consent requirements.

23. Force Majeure

Proclaim TV will not be responsible for delays, interruptions, or failures caused by events reasonably beyond its control, including natural disasters, severe weather, power failures, internet disruptions, cyberattacks, equipment failures, labor disputes, government actions, public emergencies, or failures of third-party platforms.

24. Severability, Waiver, and Assignment

If any provision of these Terms is held unlawful or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective.

Proclaim TV’s failure to enforce any provision does not waive that provision.

You may not transfer or assign your rights under these Terms without written permission. Proclaim TV may assign these Terms as part of a merger, restructuring, financing, sale, or transfer of the Service or its assets.

25. Entire Agreement

These Terms, the Privacy Policy, and any applicable subscription or service-specific terms constitute the complete agreement concerning your general use of the Service.

Separate written agreements for programming, advertising, sponsorship, production, licensing, or content distribution remain governed by their own terms.
